1. Who is Netwerkzone?

These terms and conditions apply to services provided by:

Netwerkzone focuses on web design, SEO & AIO, secure hosting, managed monitoring, AI tools and custom bots for small and medium-sized businesses and creators.

2. Scope of these terms

These terms and conditions apply to all proposals, assignments and agreements between Netwerkzone and its clients, unless we explicitly agree otherwise in writing.

If any specific conditions are included in a proposal, project document or data processing agreement, those specific conditions will take precedence over these general terms where they conflict.

3. Proposals, prices and packages

Our website shows typical price ranges and packages for services such as SEO & AIO, websites, hosting and monitoring. These amounts are indicative and exclude VAT unless stated otherwise.

A proposal only becomes binding once we have confirmed it in writing (for example by e-mail). The proposal describes:

• which services we will provide;
• the planning or estimated timeline;
• the fees (fixed price, “from” price or hourly rate);
• any additional costs, such as licences or third-party tools.

Obvious mistakes or errors in prices or descriptions do not give a right to delivery at an incorrect rate.

4. Cooperation and responsibilities

We do our best to make each project run smoothly. For that we also need your input. You are responsible for:

• providing content (texts, images, logos) and feedback on time;
• the accuracy and completeness of information you provide;
• complying with laws and regulations related to your products, services and content.

Netwerkzone is responsible for carrying out the agreed technical and creative work within the agreed scope. Additional work or changes outside the original scope may lead to extra costs. We always discuss this with you in advance.

5. Websites, SEO & AIO

In web design and SEO/AIO assignments we work towards a technically sound, clear website that can achieve good visibility. However, search engine rankings and results in AI tools depend on many factors (market, competition, budget, content, time) and can never be fully guaranteed.

We always provide honest expectations and discuss which steps are needed to improve long-term results, such as content, link profile, technical optimisation and monitoring.

6. Hosting & monitoring

For hosting and monitoring packages Netwerkzone provides an appropriate server environment, updates, baseline security and (where agreed) uptime and SSL monitoring. We aim for high availability, but 100% uptime cannot be guaranteed.

Maintenance, updates and security measures may occasionally cause short interruptions. Where possible we schedule this outside peak hours. In case of incidents we will do our best to resolve them as quickly as possible.

Backup and data responsibilities follow the agreements in the chosen package. We always recommend that clients keep their own backups of critical data and files as an extra safeguard.

7. AI tools, automation & custom bots

For AI projects, automations and custom bots, Netwerkzone assists in designing, configuring and testing the solution. It remains important that you keep control over the outputs and how these are used in your organisation.

AI systems can sometimes produce incorrect or unexpected results. You remain responsible for how decisions are made based on the output of AI systems and for complying with applicable laws and regulations (for example regarding privacy, copyright and consumer protection).

Unless explicitly agreed otherwise, Netwerkzone remains the owner of generic components, scripts and tools that we develop. You receive a right to use them for the duration and scope of the assignment.

8. Payment and invoicing

Unless agreed otherwise, our invoices are payable within 14 days after the invoice date. For larger projects we may use milestone invoices, such as a start payment, a part at delivery of a test version and a part at go-live.

If an invoice is not paid on time, Netwerkzone may (after a reminder) temporarily suspend work or access to certain services until payment has been received.

Any objections to an invoice should be reported within a reasonable period so we can look for a solution together.

9. Duration and termination of services

Projects for web design, SEO/AIO audits or one-off AI assignments run until the agreed delivery has been completed. After that we can optionally continue working together via a maintenance or monitoring subscription.

Subscriptions (for example hosting, monitoring or ongoing SEO/AIO guidance) run for the term stated in the proposal (for example monthly, 6 months, 12 months) and can be cancelled with the notice period stated in that proposal.

When services end, Netwerkzone can, by agreement, assist in migrating data or websites to another provider. Any time spent on this will be charged separately unless agreed otherwise.

10. Liability

Netwerkzone aims to deliver its services with care and professionalism. However, things can still go wrong. In such cases we will work with you to find a reasonable solution.

The liability of Netwerkzone is always limited to the amount of the invoice for the relevant assignment or, for ongoing services, to a maximum of three months of fees. Indirect damages (such as loss of profit or consequential damage) are excluded as far as allowed by law.

This limitation does not apply in case of intent or deliberate recklessness on the part of Netwerkzone.

11. Force majeure

In the event of force majeure (for example prolonged power or network outages, data centre failures or other situations beyond our reasonable control), Netwerkzone may temporarily suspend its obligations. We will inform you as soon as reasonably possible.

If a force majeure situation lasts longer than reasonable, we will look for a suitable solution or termination of the agreement together with you.

12. Applicable law and disputes

These terms and conditions and all agreements between Netwerkzone and its clients are governed by Dutch law.

We always try to resolve disputes in mutual consultation first. If this does not succeed, disputes will be submitted to the competent court in the Netherlands.
